Terms of Service

Effective October 2, 2026

These terms are an agreement between you and Flocuity LLC (“Flocuity”, “we”). They cover flocuity.com and the Flocuity application (the “Service”). By creating an account or using the Service you agree to them. If you use the Service for a business, you agree on its behalf and confirm you are allowed to.

1. The Service

Flocuity is software that turns the financial information you provide into a cash forecast, with alerts, reports and planning tools. Features may change as we improve it. We will not remove something material that you are paying for without telling you first.

2. A forecast is an estimate, not advice

Everything the Service shows about the future is an estimate based on the information it has and the assumptions you set. It is not a guarantee, and actual results will differ. Flocuity is not an accounting firm, tax adviser, investment adviser, broker, bank or law firm, and nothing in the Service is accounting, tax, investment, legal or financial advice. Tax figures are planning estimates, not a tax return. The idle cash figure is arithmetic on a rate you enter and is not a recommendation of any account, product or institution. You are responsible for your decisions; talk to a qualified professional before making important ones. The full statement is in our Disclaimer.

3. Your account

  • You must be at least 18 and able to enter into a contract.
  • Keep your sign-in details to yourself, and tell us promptly if you think someone else has used your account.
  • The owner of a business decides who else has access and in what role. The owner is responsible for what those members do in the business.
  • Give us accurate information, and keep your email address current: it is how we reach you about your account.

4. Subscription, trial and payment

  • Free trial. A business gets a 14-day trial and a household a 7-day trial, once. A second business you own is billed from the day it is set up; a business an accountant or bookkeeper sets up for a client gets its own trial. A payment card is required to start the trial. If you do not cancel before the trial ends, your paid plan begins and the card is charged.
  • Billing. Plans are billed in advance, monthly or yearly, and renew automatically until canceled. Payments are processed by Stripe. Prices are shown before you subscribe.
  • Canceling. Cancel at any time from the Billing page. The plan runs to the end of the period already paid for, then stops. Except where the law requires otherwise, payments are not refunded for a partial period.
  • Failed payments. If a payment fails, we will tell you and try again. If it remains unpaid, access may be paused until it is brought up to date. Your data is not deleted while we are still trying to collect a payment. If the plan is canceled because the payment cannot be collected, it has ended, and your data is kept and then deleted as the Privacy Policy describes.
  • Price changes. We will give at least 30 days’ notice by email before a price change applies to you. It takes effect at your next renewal.
  • Taxes. Prices do not include sales or similar taxes, which are added where they apply.

5. Your data

You own the information you put into the Service. You give us permission to store and process it only to provide the Service to you, as described in our Privacy Policy. You confirm you have the right to provide it, including any information about your employees, customers and vendors. You can export your forecast and reports, and an owner can delete the business and its data at any time.

6. Connected services

If you connect a bank, accounting software or another service, you authorize us to retrieve your information from it, read-only, on your behalf. Those services are run by other companies under their own terms, and we are not responsible for them, for their availability, or for the accuracy of what they send. Bank connections are provided through Plaid; by using them you also agree to that provider’s terms and privacy policy. Accounting connections to QuickBooks Online (Intuit) and Xero are made on their own sign-in pages, under your agreement with them. We read your open invoices and bills, when past ones were paid, and the bank accounts and transactions in your books, and we write nothing back. A Square connection is made on Square’s own sign-in page in the same way; we read its invoices, its deposits to your bank and, when you ask, your team and timecards, and write nothing back. A Stripe connection is made by installing Flocuity’s app in your Stripe account, on Stripe’s own pages; we read your balance, payouts, open invoices and subscriptions, and write nothing back. QuickBooks, Xero, Square and Stripe are trademarks of their owners, who do not endorse or sponsor Flocuity. You can end any connection at any time, from Flocuity or from the service itself.

7. Acceptable use

You agree not to:

  • use the Service for anything unlawful, or put in data you have no right to use;
  • try to get into another customer’s data, probe or break the Service’s security, or overload it;
  • copy, resell or reverse engineer the Service, or use it to build a competing product;
  • use automated means to access it, other than through features we provide;
  • send spam or misleading messages through invitations or any other feature.

We may suspend an account that does any of these, or that puts the Service or other customers at risk.

8. Our property

The Service, its software, design, text and the Flocuity name and logo belong to us and are protected by law. These terms give you a right to use the Service while your plan is active, and nothing more. If you send us ideas or feedback, we may use them without owing you anything.

9. Availability and support

We work to keep the Service running and your data safe, but we do not promise it will be uninterrupted or free of errors. We may take it down briefly for maintenance. Support is by email at support@flocuity.com.

10. Warranty disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY FORECAST, ESTIMATE, CATEGORY OR CALCULATION IS ACCURATE OR COMPLETE.

11. Limit of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, FLOCUITY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITIES, INCLUDING ANY LOSS FROM A DECISION MADE USING THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS ABOUT THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. Some places do not allow some of these limits, so parts of this section may not apply to you.

12. Indemnity

If someone brings a claim against us because of data you put into the Service without the right to, or because you broke these terms or the law, you will cover our reasonable costs and losses from that claim.

13. Ending the agreement

You may stop using the Service and delete your account at any time. We may suspend or end your access if you seriously or repeatedly break these terms, if we must by law, or if we stop offering the Service. If we stop offering it, we will give reasonable notice and refund any prepaid period not used. Sections 2, 8, 10, 11, 12 and 14 continue after the agreement ends.

14. Governing law and disputes

These terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws rules. Please write to us first; most problems are solved with an email. Any dispute we cannot resolve will be brought in the state or federal courts located in Massachusetts, and both of us consent to those courts.

15. Changes to these terms

We may update these terms. If a change matters, we will tell you by email or in the app at least 30 days before it takes effect. Continuing to use the Service after that means you accept the new terms. If you don’t accept them, you can cancel before they apply.

16. General

These terms, with the Privacy Policy and the Disclaimer, are the whole agreement between us about the Service. If part of them cannot be enforced, the rest still applies. Not enforcing a right is not giving it up. You may not transfer this agreement without our consent; we may transfer it as part of a merger or sale of the business.
